Terms and Conditions

These Terms and Conditions are a draft and subject to legal review.

§ 1 Scope

These Terms and Conditions govern the use of the service "Kaepsi", operated by vayoblue GmbH (hereinafter "Provider"), accessible at kaepsi.com.

Kaepsi is a Software-as-a-Service (SaaS) product for creating and managing invoices via WhatsApp, designed for tradespeople and small businesses.

By registering for or using the service, the user accepts these Terms and Conditions. Deviating terms of the user are not recognized unless the Provider expressly agrees to them in writing.

§ 2 Subject of the Contract

The Provider grants the user access to a web-based application that enables the creation, sending, and management of invoices via WhatsApp messages.

The exact scope of services is defined by the product description at the time of purchase. The Provider reserves the right to further develop and improve features, provided the essential contractual functions are maintained.

§ 3 Registration and User Account

The use of Kaepsi requires registration. The user is obligated to provide truthful and complete information and to keep it up to date.

The user is responsible for the security of their login credentials. The Provider is not liable for damages resulting from unauthorized use of the account, unless the Provider is at fault.

The user may not transfer their account to third parties or grant third parties access to their account, unless provided for in the chosen plan (e.g., team access).

§ 4 Services and Availability

The Provider strives for a service availability of 99% annually. This excludes scheduled maintenance and disruptions beyond the Provider's control (e.g., force majeure, WhatsApp outages).

The Provider is entitled to temporarily restrict the service for security reasons, technical necessities, or maintenance.

The service relies on WhatsApp infrastructure. The Provider does not guarantee the continued availability or functionality of WhatsApp.

§ 5 Prices and Payment

The prices stated at the time of purchase apply. All prices are net and exclude applicable taxes.

Billing occurs monthly or annually in advance, depending on the chosen billing period. Payment is made via direct debit, credit card, or another payment method offered by the Provider.

In the event of late payment, the Provider is entitled to temporarily suspend access to the service after a reminder and a reasonable grace period.

§ 6 Free Trial

The Provider may offer new users a free trial period. The scope and duration of the trial are specified during registration.

After the trial period expires, the subscription is automatically converted to the chosen paid plan unless the user cancels beforehand.

§ 7 Term and Termination

The contract is concluded for an indefinite period and may be terminated by either party with 14 days' notice at the end of the respective billing period.

The right to terminate without notice for good cause remains unaffected. Good cause exists in particular if the user violates these Terms and Conditions or the Provider permanently discontinues the service.

Upon termination, user data will be deleted in accordance with data protection regulations. The user has the opportunity to export their data before the contract ends.

§ 8 User Obligations

The user undertakes to use the service only within the framework of applicable laws and these Terms and Conditions. In particular, the service may not be used to create unlawful invoices or for fraudulent purposes.

The user is responsible for the accuracy of the invoice data entered (amounts, tax rates, recipient details). Kaepsi assists in creation but does not replace tax advice.

The user indemnifies the Provider against all third-party claims arising from unlawful use of the service by the user.

§ 9 Liability

The Provider is liable without limitation for intent and gross negligence. In the case of slight negligence, the Provider is only liable for the breach of essential contractual obligations, limited to foreseeable, typical contractual damages.

Liability for indirect damages, consequential damages, and lost profits is excluded in cases of slight negligence.

The above limitations of liability do not apply to damages resulting from injury to life, body, or health.

The Provider is not liable for the tax or legal correctness of invoices created by the user. The user is responsible for compliance with applicable tax regulations.

§ 10 Data Protection

The Provider processes personal data in accordance with the General Data Protection Regulation (GDPR). Details can be found in the Privacy Policy.

Messages are stored for 90 days and then anonymized. Voice messages are deleted immediately after transcription.

All data is processed exclusively on servers within the EU.

§ 11 Changes to Terms and Conditions

The Provider reserves the right to amend these Terms and Conditions with reasonable notice. The user will be informed of changes in due time. If the user does not object to the changes within 30 days of receiving notice, the amended Terms and Conditions are deemed accepted.

In the event of an objection, the Provider has the right to terminate the contract at the time the new Terms and Conditions take effect.

§ 12 Final Provisions

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for all disputes arising from or in connection with this contract is, to the extent permitted by law, Saarbrücken, Germany.

If any provision of these Terms and Conditions is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected.
